BFC Pay Business Card

These Terms and Conditions (“Terms”) govern the issuance and use of the BFC Pay Business Card (“Corporate Card”) issued by BFC Payments B.S.C. (C) (“BFCP”), a company incorporated in the Kingdom of Bahrain under commercial registration number CR 121852, licensed by the Central Bank of Bahrain as an
Ancillary Service Provider, and having its registered address at Flat No. 303, Building 150, Road 1507, Block 315, P.O. Box 243, Manama, Kingdom of Bahrain.

By applying for, accepting, or using the Corporate Card, the Corporate Entity (“Company”) and all authorized users (“Cardholders”) agree to be bound by these Terms and Conditions.

Definitions and Interpretation

Definitions

Unless otherwise stated:

  1. “Account” means the corporate account maintained by BFCP in the name of the Company to record Card Transactions, Service Charges and any other amounts relevant to the Business Card.
  2. “Authorized User” means an employee or representative of the Company to whom BFCP issues a Business Card under the Company’s Account.
  3. “Business Card” or “Card” means the prepaid card issued by BFCP to the Company and/or its Authorized Users under the Business Card program.
  4. “Corporate Portal” means the secure online platform provided by BFCP through which the Company can manage the Business Card program: issue cards, view transactions, set/reset PINs, load funds, set user limits, deactivate cards, and generate reports.
  5. “Service Charges” means fees and charges payable by the Company and/or Authorized Users in respect of cards, loading, currency conversion, ATM withdrawals, wallet transfers, issuance, renewal, replacement and other services, as notified by BFCP from time to time.
  6. “Card Transaction” or “Transaction” means any transaction effected by use of the Business Card (physical or virtual) by an Authorized User, including a debit or credit to the Account or wallets linked to such card.
  7. “Wallet” means a currency-based sub-account or ledger maintained by BFCP for the Company, in BHD Wallet, credited by loading, and debited by transactions.
  8. “Business Day” means a day on which BFCP is open for business in the Kingdom of Bahrain (excluding Fridays and public holidays).
  9. “PIN” means the unique Personal Identification Number allocated or set by the Company or Authorized User, used to authorize certain Transactions on the Business Card or Corporate Portal.

Interpretation

Headings are for convenience only and do not affect interpretation. Singular includes plural and vice-versa. Gender references include all genders. References to these Terms include any schedules. References to statutes include amendments or replacements. References to “writing” include e-mail. Unless the
context otherwise requires, a person includes a natural person, corporate or unincorporated body.

Issuance of Corporate Card

  1. Issuance of Corporate Cards is subject to submission of a completed Corporate Registration with BFC Payments and Card Application from the Corporate portal and all required KYC documentation, including valid commercial registration, memorandum of association, and authorized
    signatory documents.
  2. BFCP reserves the right, at its sole discretion, to approve or reject any application without assigning reasons.
  3. The Company may request multiple cards for Authorized Users. Each card will be embossed with the company name or the individual user’s name.
  4. All Cards remain the sole and exclusive property of BFCP at all times. The Company and Authorized Users receive only a limited, revocable license to use Cards in accordance with these Terms. Cards are non-transferable and may only be used by the designated Authorized User. Cards must be returned
    to BFCP immediately upon request, termination, expiry, or when an Authorized User ceases employment or authorization. If a Card is not returned, the Company authorizes BFCP to deactivate it and charge a non-return fee. The Company shall not, and shall ensure Authorized Users do not, tamper with, alter, duplicate, or misuse any Card.

Card Types and Usage

BFCP may issue Business Cards under different categories depending on the nature of the Customer’s requirements, including but not limited to:

  1. Corporate Expense Card
    Designed for everyday business spending such as travel, business subscriptions, SaaS payments, professional services, hospitality, and retail or online purchases. Cards may be accepted worldwide at all participating merchants and ATMs displaying the applicable card network logo, in up to nine (9) major currencies, subject to availability of wallet balances and applicable limits.
  2. Government Cards:
    Issued specifically for official or institutional use, to facilitate payments of government fees and charges within the Kingdom of Bahrain or through authorized government payment channels. Government Cards may be subject to additional restrictions, controls, or approval requirements as
    defined by BFCP and the relevant authorities.
    Each Card is issued under the Company’s Account, and the Company remains fully responsible for all Transactions carried out using such Cards by its Authorized Users, officials, or representatives.
  3. Executive Business Cards
    Issued to senior executives or designated employees of the Company for business-related expenses, including but not limited to travel, accommodation, dining, and corporate representation costs. Executive Business Cards may be assigned enhanced spending limits, customized controls, or additional privileges as approved by the Company and BFCP. Usage remains subject to available wallet balances, applicable limits, and these Terms.

Loading and Use

  1. The Business Card is a prepaid product: funds must be loaded into the Company’s Account or associated wallets prior to use. The Company must ensure the availability of funds.
  2. The Company, via the Corporate Portal, may load funds, allocate wallet balances in various currencies, transfer between wallets (subject to BFCP’s directives and conversion rate disclosures) and assign cards to Authorized Users.
  3. The Business Card may be used by an Authorized User for lawful business expenses on behalf of the Company, subject to any limits or controls set by the Company via the Portal and by BFCP.
  4. If a Transaction is attempted in a currency for which no active wallet exists or where the wallet has insufficient balance, BFCP shall apply currency conversion and/or invoke wallet dipping across multiple wallets in the priority order specified below. The Company agrees to and accepts: (a) the exchange rates applied by BFCP, which shall be determined by BFCP in its sole discretion based on prevailing market rates plus applicable markups; (b) all conversion fees and dipping charges as set forth in the Schedule of Charges; and (c) that such rates and charges are binding and final. Exchange rates are determined at the time of transaction processing and may differ from rates at the time of transaction initiation. The Company waives any right to challenge exchange rates or dipping charges except in the case of manifest calculation error.

  6. The Company undertakes to comply with all applicable laws, regulations, and regulatory directives, including those of the Kingdom of Bahrain, the Central Bank of Bahrain, card network rules, and any other relevant jurisdictions. The Company shall not use, permit, or facilitate the use of any Card for any unlawful, prohibited, or restricted activity, including but not limited to: money laundering, terrorist financing, sanctions violations, fraud, gambling (where prohibited), purchase of illegal goods or services, or any activity that violates card network rules or BFCP policies. The Company shall immediately notify BFCP if it becomes aware of any such activity. BFCP may immediately suspend or terminate the program and report to relevant authorities if it suspects any violation, and the Company shall remain liable for all consequences of such violations.

Portal Access and Control

  1. The Company will be granted access credentials to the Corporate Portal. The Company is responsible for ensuring that administrative access is restricted to authorized individuals and that credentials are kept secure.
  2. Via the Portal the Company may, inter alia: issue cards, deactivate cards, allocate or change spending limits, load funds, monitor transactions in realtime, generate statements or reports, set/reset PINs for cards, enable/disable wallets, and define currency settings.
  3. The Company is solely responsible for the acts and omissions of all Authorized Users and for ensuring that all Authorized Users comply with these Terms and with any instructions, rules, policies, or procedures published or communicated by BFCP. The Company shall implement and maintain adequate internal controls, approval procedures, and monitoring mechanisms. Any breach by an Authorized User shall be deemed a breach by the Company. The Company shall be liable for all transactions and activities conducted by Authorized Users, and BFCP may rely on any instruction or transaction from an Authorized User as being authorized by the Company without further verification.

Charges, Offers and Fees

All Service Charges applicable to Business Cards and the portfolio will be as per the prevailing Business Card Schedule of Charges published by BFCP, which may include but not be limited to: issuance fees, annual or subscription fees, replacement fees, ATM cash withdrawal fees (local and international), foreign
exchange mark-ups, wallet transfer fees, dormant account or inactive wallet charges, and other service fees.

VAT (or any applicable tax) will be applied where required under law.

Cashback Program

  1. Unlimited cashback of 0.25% applies on a single transaction of BHD 5,000 or on cumulative monthly transactions totaling BHD 5,000 or more.
  2. Minimum amount of BHD 5000 required to be eligible for cashback.
  3. Earned Cashback can be viewed on corporate portal at the end of every month.

Liability, Loss, Theft and Security

  1. The Company is fully and exclusively responsible for all Transactions made on cards issued under its Account, whether authorized or unauthorized, whether made by Authorized Users or any other person, until such cards are deactivated by BFCP following receipt of proper notification. The Company's liability shall continue for all transactions processed or authorized before such
    deactivation is completed in BFCP's systems, even if initiated prior to notification.
  2. Authorized Users must keep the Business Card, PIN and any portal credentials secure at all times. The Company must ensure that cards are used only by the designated Authorized User.
  3. In the event of loss, theft or suspicion of unauthorized use of a Card or credentials, the Company or Authorized User must immediately notify BFCP by using the contact details provided and follow BFCP's instructions. Once properly notified during business hours, BFCP will use reasonable efforts to
    block the relevant card(s) within a reasonable timeframe. BFCP’s liability for unauthorized transactions shall be limited exclusively to direct losses arising from transactions processed after BFCP receives proper notification and has had reasonable time to act, and only where such losses are directly and solely caused by BFCP's failure to block the card. BFCP shall have no liability whatsoever where: (a) the Company or User acted fraudulently, with gross negligence, or in bad faith; (b) the Company or User failed to keep the Card, PIN or credentials secure; (c) the Company failed to implement adequate internal controls; (d) the Company delayed in providing notification; or (e) the
    unauthorized use resulted from the Company's or User's breach of these Terms.
  4. BFCP shall not be liable for: (i) any indirect, consequential, special, incidental, or punitive loss or damages, including but not limited to loss of profits, Business Card 8 business opportunity, revenue, contracts, goodwill, reputation, data, or any economic loss, whether foreseeable or not; (ii) any loss arising from merchant refusal to accept the Card, merchant disputes, quality or delivery of goods or
    services, or any act or omission of merchants, ATM operators, payment networks, or other third parties; (iii) any loss caused by malfunction of ATMs, point-of-sale terminals, websites, or any technology operated by third parties; (iv) any currency fluctuation losses; or (v) any failure to complete transactions due to insufficient funds, technical issues, or matters beyond BFCP's
    reasonable control. The Company acknowledges that disputes regarding goods or services must be resolved directly with the relevant merchant and that payment obligations to BFCP are not affected by such disputes.
  5. Notification of Incorrect or Unauthorized Activity The Company must immediately notify BFCP if it suspects or becomes aware of any incorrect, erroneous, or unauthorized activity on its Account, Wallet, or any Business Card.
    The Company must notify BFCP within five (5) Business Days of becoming aware or reasonably should have become aware of any incorrect, erroneous, or unauthorized activity on its Account, Wallet, or any Business Card. Failure to notify BFCP within such timeframe shall result in the Company being deemed to have accepted such activity as authorized, and the Company shall
    have no right to dispute such transactions or recover any funds, subject to applicable mandatory legal requirements and card network rules.
  6. Limitation of Liability for Failed or Incomplete Payments BFCP shall not be liable for any failure to complete, process, or execute a payment, transaction, or instruction initiated by the Company or its Authorized Users where such failure is caused by circumstances beyond BFCP’s reasonable control, including but not limited to:

    • The Company or Wallet does not have sufficient funds to complete the transaction.

    • BFCP’s payment processing systems or third-party network are temporarily unavailable or malfunctioning, and the Company or Authorized User knew or was advised of such unavailability before initiating the transaction.

    • The Company or Authorized User provides incorrect, incomplete, or outdated information; or

    • Any Force Majeure Event (including but not limited to network failure, natural disaster, government action, regulatory change, strike, war, or act of terrorism) which prevents proper execution of the transaction, even if foreseeable.

Card and PIN Security

  1. The Authorized User must keep the Card and its PIN secure and confidential at
    all times.
  2. The PIN may be set or reset through the Corporate Portal.
  3. If the Card or credentials are lost, stolen, or suspected of being compromised,
    the Company must notify BFCP immediately.

Disputes, Refunds and Chargebacks

  1. Transactions may be disputed via the procedure specified by BFCP, available on the Corporate Portal or upon request. The Company must notify BFCP in writing of any dispute within thirty (30) calendar days of the transaction date. Any dispute raised after this period shall be deemed time-barred and BFCP shall have no obligation to investigate or process such dispute. The Company acknowledges that shorter timeframes may apply under card network rules. All dispute notices must include: (a) the specific transaction details (date, amount, merchant, card number); (b) the reason for dispute with supporting evidence; (c) confirmation that the Company has first attempted to resolve the matter with the merchant; and (d) any other information reasonably required by BFCP. BFCP may reject incomplete or insufficiently documented disputes. The Company acknowledges that BFCP acts only as an intermediary in disputes and makes no guarantee of successful resolution.
  2. BFCP shall investigate the dispute and, where applicable, initiate a chargeback request to the acquiring bank. The Company acknowledges that acceptance of such dispute/chargeback is subject to the rules of the card network and acquirer.
  3. If a dispute is successful, any refund will be credited to the relevant wallet in the currency and at the exchange rate determined by BFCP in its sole discretion. The Company shall be responsible for all fees associated with the dispute process, including but not limited to chargeback fees, retrieval fees,
    documentation fees, and any penalties imposed by card networks or acquiring banks, regardless of the outcome. BFCP makes no guarantee regarding the timing or success of any dispute or chargeback and shall not be liable for any denial or delay by merchants, acquirers, or card networks.

Data Protection and Confidentiality

  1. The Company authorizes BFCP to collect, store, process and disclose corporate and personal data (including that of Authorized Users) for the purpose of administering the Business Card program, fraud prevention, regulatory compliance, marketing (if consented) and other lawful purposes.
  2. BFCP may share such information with regulators, service providers, card schemes, affiliates, agents or other third parties where required by law or necessary for service provision.
  3. The Company shall ensure that personal data of its employees/Authorized Users is provided in a timely, complete, and accurate manner and that it has obtained all required consents, authorizations, and waivers from such individuals to permit BFCP to collect, process, store, and share their data as
    described in these Terms and BFCP's Privacy Policy. The Company warrants that all data subjects have been informed of their data being provided to BFCP and have consented to the processing activities described herein. The Company shall indemnify BFCP against any claims by data subjects arising from the Company's failure to obtain proper consents or provide required notices.
  4. BFCP will handle personal data in accordance with applicable personal data protection laws of the Kingdom of Bahrain (and any other relevant jurisdiction) and as set out in BFCP’s Privacy Policy.

Termination and Suspension

  1. The Company may terminate the Business Card program by giving written notice to BFCP and returning/destroying all cards issued under its Account, once all outstanding amounts (including Service Charges) have been settled.
  2. BFCP may immediately suspend or terminate any card, wallet, portal access, Authorized User, or the entire Business Card program, with or without prior notice, if:
    (a) BFCP suspects or has reason to believe there is misuse, fraud, money laundering, or other illegal activity; (b) there is any breach of these Terms by the Company or any Authorized User; (c) any information provided by the Company is or becomes false, incomplete, or misleading; (d) the Company becomes insolvent, enters bankruptcy or liquidation, or BFCP reasonably
    believes the Company's financial condition has deteriorated; (e) required by law, regulation, court order, or any regulatory authority; (f) required by card network rules; (g) to protect BFCP's interests or prevent loss; or (h) for any other reason in BFCP’s sole and absolute discretion. BFCP shall have no
    liability for any consequences of such suspension or termination.
  3. On termination, all outstanding amounts are immediately due and payable. Any positive balance remaining after settlement of all liabilities, Service Charges, and amounts owing to BFCP may be returned to the Company in accordance with BFCP’s policy and procedures, subject to completion of all required compliance checks and documentation. BFCP reserves the right to deduct administrative fees from any refunded balance. If the Company fails to claim any remaining balance within six (6) months of termination, or fails to provide necessary documentation for refund, BFCP may, at its discretion, treat such funds as abandoned and deal with them in accordance with applicable
    unclaimed property laws. The Company waives any claim to such funds after this period, except as required by mandatory law.
  4. Cards that are cancelled or terminated must be surrendered or destroyed and must not be used thereafter.

Amendments

BFCP reserves the right to amend these Terms, the Schedule of Charges, limits, or any other program terms at any time. For material changes, BFCP will provide thirty (30) days' prior written notice to the Company, except that BFCP may implement changes immediately without prior notice where required or permitted by law, regulation, court order, card network rules, or where necessary in BFCP's reasonable opinion to address security concerns, fraud prevention, risk management, or system requirements. Notice may be provided via the Corporate Portal, email, or other electronic means. Continued use of any Corporate Card after the effective date of any amendment constitutes the Company's binding
acceptance of such changes. If the Company does not agree to any amendment, its sole remedy is to terminate the program in accordance with Section 10.1 before the effective date of such amendment.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Bahrain. The Company irrevocably submits to the exclusive jurisdiction of the courts of Bahrain and waives any objection to proceedings in such courts on the grounds of venue or on the grounds that proceedings have been brought in an inconvenient forum. The Company agrees
that BFCP may enforce any judgment obtained in Bahrain courts in any other jurisdiction.

General

  1. No delay or omission by BFCP in exercising rights under these Terms shall
    operate as a waiver of those rights.
  2. If any provision of these Terms is held invalid or unenforceable, the remaining
    provisions will remain in full force and effect.
  3. A Maximum Liability Cap

    • Notwithstanding anything else in these Terms, BFCP's total aggregate liability to the Company and all Authorized Users, arising out of or related to the Business Card program, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount of Service Charges actually paid by the Company to BFCP in the twelve (12) months preceding the event giving rise to liability, or BHD 1,000, whichever is lower. This limitation applies to all claims in aggregate, not per claim.

    • The Company acknowledges and agrees that BFCP's records, including electronic records, system logs, transaction records, email communications, and records maintained by BFCP or its service providers, shall constitute conclusive and binding evidence of all matters relating to the Account, Cards, and transactions, and may be used as evidence in any proceedings. Such records shall be deemed accurate and authentic in the absence of manifest error, and the burden of proving manifest error shall rest with the Company. Any challenge to BFCP's records must be made within thirty (30) days of the relevant transaction or event, after which time such records shall be deemed conclusively accepted by the Company.
  4. Any notices to be given to the Company or BFCP under these Terms shall be in writing and delivered as set out in BFCP’s communications policy. Notices to the Company may be sent via email, through the Corporate Portal, to the Company's registered address, or by any other means BFCP deems appropriate, and shall be deemed received: (a) if by email, when sent; (b) if through the Portal, when posted; or (c) if by mail, three (3) Business Days after posting. It is the Company's responsibility to maintain current contact information.

    • Assignment BFCP may assign, transfer, novate, or subcontract any of its rights or obligations under these Terms to any affiliate, successor, service provider, or third party without the Company's consent. The Company may not assign, transfer, or delegate any of its rights or obligations under these Terms without BFCP's prior written consent, and any purported assignment without such consent shall be void.

    • No Third-Party Rights These Terms are for the benefit of BFCP and the Company only. No third party (including any Authorized User in their personal capacity) shall have any right to enforce any provision of these Terms, except that BFCP's affiliates, service providers, and indemnified parties may enforce provisions for their benefit.
  5. The Company agrees to indemnify, defend, and hold harmless BFCP and its parent, subsidiaries, affiliates, and their respective officers, directors, employees, agents, and service providers from and against any and all losses, damages, liabilities, costs, expenses (including reasonable legal fees), claims, demands, actions, or proceedings incurred by or asserted against any of them arising out of or in connection with: (a) any breach of these Terms by the Company or any Authorized User; (b) any misuse or unauthorized use of any Card; (c) any fraudulent or illegal activity involving the Account or any Card; (d) any dispute with merchants or third parties; (e) any violation of applicable laws or regulations; (f) any negligent or wrongful act or omission by the Company or any Authorized User; or (g) any third-party claim related to the Company's use of the Business Card program, except only to the extent such losses are directly and solely caused by BFCP's willful misconduct as finally determined by a court of competent jurisdiction.

    • Time Bar for Claims The Company must commence any legal proceedings, claims, or actions against BFCP relating to the Business Card program, these Terms, or any transaction within one (1) year from the date the cause of action arose. Any claims not commenced within this period shall be permanently barred, and the Company waives any right to bring such claims, to the maximum extent permitted by applicable law.

Taxes

All fees, amounts and charges under these Terms are exclusive of VAT or any other applicable tax, duty, or levy. Where such tax is payable, BFCP will charge it in accordance with applicable law and provide a valid tax invoice if required. The Company is solely responsible for determining and fulfilling its own tax obligations relating to use of the Cards, including any corporate tax, income tax withholding obligations, or reporting requirements in any jurisdiction. The Company shall indemnify BFCP against any tax liability, penalty, or interest arising from the Company's failure to comply with its tax obligations.

Force Majeure

BFCP shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond BFCP's reasonable control, including but not limited to: acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, strikes, labor disputes,
government actions or restrictions, changes in law or regulation, power failures, telecommunications or internet failures, failures of third-party service providers, card network outages or failures, banking system failures, equipment malfunctions, cyber-attacks, or any other Force Majeure Event. During any such event, BFCP's obligations shall be suspended, and BFCP shall have no liability for any resulting losses or damages.

Card Network Rules

The Company acknowledges and agrees that all Cards are issued subject to the rules, regulations, and operating guidelines of the applicable card payment network (Visa, Mastercard, or other networks). Such rules are incorporated into these Terms by reference and are binding on the Company and all Authorized
Users. In the event of any conflict between these Terms and card network rules, the card network rules shall prevail to the extent required by such network. The Company waives any claims against BFCP arising from compliance with or enforcement of card network rules.
