BFC Pay App

This Agreement is a contract between You and BFC Payments B.S.C. (C) which is
the operator of BFC PAY mobile application which include digital wallet as one of
the products. By using the BFC Pay mobile application means that you have
accepted all the terms and conditions contained in this Agreement.

General Terms and Condition

  1. These terms and conditions (“T&C” or “Terms”) govern the terms under which
    you may access and use the products of BFC Payments, which include the
    BFC Pay App, BFC Pay Wallet, BFC Pay Website (as applicable) and the
    services associated with it (together the “Service” or “Services”). By
    accessing, registering, or using the Service, you agree to be bound by the
    terms of this T&C.
  2. Under these T&C, the terms “BFCP”, “we”, “us”, and “our” refer to BFC
    Payments B.S.C. (C), a closed joint stock company incorporated in the
    Kingdom of Bahrain under commercial registration number CR 121852 and
    licensed by the Central Bank of Bahrain (CBB) as an Ancillary Service
    Provider; and having its registered address at Shop No. 303, Building 150,
    Road 1507, Block 315, P.O. Box 243, Manama, Kingdom of Bahrain.
  3. These Terms and Conditions shall form an integral part of any product or
    service provided to you by us, including the BFC Pay App and BFC Pay Wallet.
    They should be read in conjunction with the existing terms and conditions and
    the Privacy Policy of BFC Payments.
  4. The terms “User”, “you” and “your” refer to users of the Service, as Account
    Holders, Senders, Recipients, and other applicable users of the Service.
  5. These T&C shall be effective, valid and binding from the time that you agree to
    it or the time you use any of the Services and will be in full force and effect up
    to the time that it is terminated by you or us, save for some provisions which
    shall remain effective after termination, as stated in this T&C, under any
    applicable law, rule or regulation.

Definitions Of Terms

  1. BFC Pay: Means the BFC Payments Mobile Application installed on the User’s
    smartphone, which is a mobile payment software that facilitates payments to
    merchants and money transfers.
  2. Wallet: means the mobile wallet issued to the user and maintained with BFCP
    on the App. It is a stored value account with the ability of loading the digital
    wallet through Bank ATM card via PG or third-party applications.
  3. “Call Centre” refers to the customer care telephone helpline and email
    provided by BFCP for the App.
  4. “Dispute” means any contentious matter reported by a User to BFCP related to
    a financial transaction on the App.
  5. “Merchant” means the entity/person that receives the payment through the
    App in exchange for rendering assets/ services to a User.
  6. “Payment Instrument” means the tool used for making payments on the App,
    issued by BFCP or by a User’s Bank i.e., debit / credit card or bank account.
  7. “Transaction” means the process carried out between a User and a Merchant
    to exchange an asset or service for payment or a fund transfer between a
    payer and a beneficiary through the App.
  8. “User” means any person who uses the BFC Payments Mobile Application
  9. The International Bank Account Number (IBAN) is a globally recognized
    sequence of up to 34 alphanumeric characters that facilitate the processing of
    bank transfers.
  10. Virtual IBAN: A digitalized version of the account number
  11. BFC Pay Account
    a. The BFC Pay Account is a reloadable electronic wallet that stores Bahraini
    Dinar redeemable only at face value.
    b. The value loaded into the BFC Pay Account may be used to purchase
    services via In-app, or other applicable payment channels. It shall not earn
    interest nor monetary rewards and other similar incentives convertible to
    cash, nor shall any monetary amount be purchased at a discount. It is not
    an interest earning depository account. It shall be treated as a personal
    account of the Account Holder and shall not be used to engage in the
    business of remittance or for any other business purposes, except upon
    execution of a written agreement with BFC Pay allowing such. It is subject
    to the rules and regulations of the CBB and the Anti-Money Laundering Act
    (Decree Law No. (4) of 2001) and the Data Privacy Act; wherein penalties
    and consequences arising from violations to the rules and regulations of
    CBB, and other governing bodies made by the Account Holder shall be
    under the liability of the Account Holder.
    c. The user will be presented with a Virtual IBAN (VI-IBAN) in lieu of the
    digital wallet ID.

Eligibility

User must be a resident of Bahrain having a valid CPR and must have attained 18
years of age for availing the services. Any person shall be required upfront to
download & register with BFCP on their mobile smart phone. The App will link with
the profile provided /confirmed by the User at the time of registration and will be
associated with the registered mobile number of the User. You are eligible to hold
only one wallet account with BFC Pay at any given time
To get the WPS services on the wallet, you must initiate or update the registration
through your authorized employer.

BFC Pay Account Terms

  1. Your Wallet Account, an e-money account, is equipped with a Virtual IBAN
    provided by our BFCP partner Bank. Please note that no overdraft facilities are
    available on this account.
  2. Users can utilize the IBAN for any type of fund transfer, both within the BFCP
    user base and to external entities.
  3. Users may also use the IBAN to receive funds from both within and outside the
    BFCP user base.
  4. Users are currently allowed to use the IBAN for domestic transfers within the
    Kingdom of Bahrain. Should BFC decide to enable international transfers using
    the IBAN, users will be notified in advance. Please note that all terms and
    conditions will remain applicable, regardless of whether the transfer is
    domestic or international.
  5. BFC Pay is constantly innovating in order to provide the best possible
    experience for its users. You acknowledge and agree that BFC Pay may make
    new services available to You. We will notify You of any amendments to the
    Agreement resulting from the introduction of new services by email or by
    providing a link to the updated Agreement at least thirty (30) days prior to the
    new service becoming available.
  6. You acknowledge and agree that BFC Pay may stop providing the Wallet
    Services to You as provided in the Agreement. You may stop using the Wallet
    Services at any time. You do not need to inform BFC Pay when You stop using
    the Wallet Services.
  7. You acknowledge and agree that all existing and new Users will be provided
    with a Virtual IBAN in place of the Wallet Id.
  8. The balance of all existing User wallets will be transferred to the IBAN without
    any loss to the User's account value.
  9. You acknowledge and agree that BFC Pay may establish general practices and
    limits concerning the use of the Wallet Services without prior notice to You,
    including without limitation individual or aggregate transaction limits on the
    value or number of transactions during any specified time period(s) and
    Recharge Limits. In addition to any applicable account limits and Recharge
    Limits, We may restrict transactions to or from Your Wallet or Card Account or
    limit access to Your Wallet or Card Account in such amounts and for such time
    as We reasonably deem necessary to protect Us or other users if (a) We are

    subject to financial risk, (b) You have violated any term of this Agreement, (c)
    any dispute exists involving Your Wallet or Card Account or transaction
    conducted in connection therewith, or (d) needed to protect the security of
    Our systems.
  10. We may restrict access to Your Wallet or Card Account while We complete any
    pending investigation or resolve a pending dispute. We also may hold the
    funds in Your Wallet Account as required by law or court order or if otherwise
    requested by law enforcement or any governmental entity.
  11. For the facilitation of the foregoing, Your Wallet Account will show the
    Available Balance only. You will only be able to use funds showing in your
    Available Balance for payments and transfers from Your Wallet Account.
  12. BFC Pay may refuse to execute any transactions or orders or other use of the
    services if BFC Pay has reasonable grounds to suspect fraud, a breach of the
    applicable Agreement by You or a violation of law.
  13. Transactions may also be delayed due to BFC Pay’s or a third party’s
    compliance with its obligations under applicable anti-money laundering
    legislation, including if BFC Pay or the relevant third party suspects the
    transaction involves fraud or any other financial crime. In the event that BFC
    Pay refuses to execute a transaction or order or other use of the services, You
    will be notified and We will provide You with objectively justifiable reasons for
    the refusal, unless it is unlawful for BFC Pay to do so, or would compromise
    reasonable security measures. Funding, payments and transfers are displayed
    in Your Wallet Account, and You should check Your Wallet Account balance
    and transaction history regularly. You should report any irregularities or clarify
    any questions You have as soon as possible. We will provide You with a
    history of the transactions that You make under this Agreement at least once
    per month free of charge, including details of the amounts, the fees, charges
    and commissions, the dates and times of execution and the reference
    numbers for each transaction.

Load money

  1. BFC Pay reserves the right to refuse any request to top up your Wallet
    Account (IBAN) if the Recharge Limits have been met.
  2. You may deposit money into Your BFC Pay accounts by transferring funds
    from Your traditional bank accounts via debit cards using Benefit Payment
    Gateway or Benefit Pay App. The maximum balance that can be held in a BFC
    Pay account is BHD 2,500 for a general-purpose customer. However, for
    customers receiving WPS payroll, the maximum limit is increased to BHD
    4,000.
  3. We will inform You if this limit changes in the future, and We may limit Your
    ability to deposit and withdraw funds until You comply with Our requests for
    information.

Sending Money

You have the ability to transfer funds domestically to both registered and nonregistered BFC Pay users through the BFC Pay app using a Virtual IBAN. This
transaction will result in a deduction from your BFC Pay account balance by the
transferred amount, in addition to any applicable fees.
Transactions above BHD 1000 to other IBANs (except partner bank) will happen on
below times.

Transactions processed between 14:25 pm the previous business day till 7:45 am
of the same business day will be credited into the receiver’s account around 10:00
am, while transactions processed between 7:45 am to 11:45 am of the same
business day will be credited into the receiver’s account around 2:00 pm. The
transactions that will be processed between 11:45 am to 14:25 pm will be credited
to the receiver's account around 3:30 pm. Crediting times may vary based on the
time of successful interbank settlement of funds.

International Remittance

You may transfer funds from Your Available Balance through International
Remittances. You hereby acknowledge and agree that this Wallet Service is
powered and serviced by Remittance Intermediaries and such International
Remittances will be subject to special terms and conditions. Refer to BFC’s Digital
Remittance service Terms and Conditions for more information.

Bill Payment

You may settle Yours or Your friends and families’ bills by using BFC Pay
application feature powered by a service provider’s bill payment service and Your
BFC Pay account will be debited accordingly. Service providers include BFC,
Sadad etc.

Other Service Providers

BFC Pay may introduce other payment transactions from time to time and will
update these provisions accordingly.

BFC Pay Card

The limit of payments of Payment Cards linked to Your Wallet Account shall be the
Available Balance of Your Wallet Account, and You shall comply with this limit at all
times. This limit is subject to change from time to time at our sole discretion. You
can always check Your Available Balance by logging into Your Wallet Account. You
will be able to access statements and summaries of transactions relating to Your
BFC Pay account and Payment Card via the App. At carrying out any transaction
using Your Payment Card, we will charge such amounts by automatically debiting
Your Wallet Account for each transaction. You will be agreeing for a separate
terms and conditions to issue a card and use it.

Statement

You acknowledge and agree that not receiving the account statement does not
excuse You of Your obligation to make payment of the amounts due on Your
Payment Card to Us. You can find out the available balance and statement of the
Wallet account and Payment Card by accessing the BFC Pay App. In the event you
disagree with any amount charged to Your Payment Card or Wallet account as
indicated in the statement, You must communicate the same to Us by reaching out
to our customer support service within 7 days of showing such transaction on the
statement, failing which, We will not be responsible if the transaction concerning
such issue is not successfully disputed with the transaction processing bank or
the biller

Other service terms

  1. User authorizes BFCP to store certain data of the payment instruments and
    transaction history and information
  2. The User shall not hold BFCP responsible for any Dispute arising from any
    purchase of goods/services from any Merchant through Transactions initiated
    through the App or fund transfers to any beneficiary. The User understands
    and agrees that all such claims, if any, shall be against such Merchant(s) or
    beneficiary(ies) and not against BFCP.
  3. BFCP does not warrant that the use of the App or its content will be
    uninterrupted or error- free and expressly disclaims all representations and
    warranties, whether express, implied or statutory to the extent permitted by
    applicable laws including any warranty of fitness for a particular purpose or
    merchant ability.

Service Charges

Charges for services provided on the App shall be informed upfront to the User.
BFCP reserves the right to change or modify charges by giving prior notice and
recover from the User such charge for providing services through the App. The
User hereby authorizes BFCP to recover the said charges by debiting the e-Wallet
of the User after due intimation.

Personal Information

  1. BFCP may collect and/or store the User’s personal data only to the extent and
    for the purpose(s) required and permitted under applicable laws and subject
    always to the prior written consent of the User which can be revoked by the
    User at any time. BFCP will not share any personal or sensitive data with any
    third-party without the prior written consent of the User which can be revoked
    by the User at any time, unless required for legal purposes.
  2. You grant BFCP the authority to display the e-Wallets associated with your
    account in the App to the payer whenever the payer utilizes the beneficiary's
    mobile number, National ID (CPR), or IBAN for the transaction.
  3. You authorize and give consent to BFCP to use the information for the purpose
    of market analysis, marketing and for statistical purposes.
  4. The Account Holder shall immediately notify BFC Pay via telephone, BFC Pay
    app or a written notice of any change in his/her Identify documents, or
    address and/or contact details/telephone number(s), which shall be subject to
    verification by BFC Pay through presentation of proper documents. The
    request shall be considered valid and final upon authentication of User, based
    on BFC Pay verification process. Verification process may be through mobile
    app or via email, or through call or face to face verification
  5. As applicable, Account Holder may also change their personal information via
    the App, following the instructions and security measures set by BFC Pay. The
    request shall be considered valid and final upon authentication of User, based
    on BFC Pay verification process.

Your Obligations

  1. You agree to abide by the obligations stated under this section. You
    understand that failure to abide by these obligations is subject to BFC Pay
    applying suspension and/or termination of your BFC Pay Account, and proper
    reporting to the applicable authority of the laws, rules and regulations that
    govern BFC Pay
  2. You will pay all obligations, Service fees and Tax that may be imposed
    depending on the Service that you availed. BFC Pay has the right to deduct
    from your BFC Pay wallet account any and all monies that may be due and
    demandable by BFC Pay.
  3. You will pay all obligations, Service fees and Tax that may be imposed

  4. Your primary email address and mobile phone number will be up to date so
    that BFC Pay can communicate with You electronically
  5. In the event that the amount of your transactions exceeds the available
    balance in your Account and the transaction was allowed or consummated for
    any reason, BFC Pay has the right to recover from you by way of
    compensation.
  6. You agree not to alter, modify, or cause the alteration or modification, of the
    Services, without prior written consent from BFC Pay. You further agree not to
    use the Services for any commercial use, without prior written authority from
    BFC Pay.
  7. You agree not to alter, modify, or cause the alteration or modification, of the

  8. You agree not to gain or attempt to gain unauthorized access to any part or
    feature of the Services or to any other system or network connected to the
    Services. You also agree not to gather, harvest, or otherwise collect
    information about others using the Services without their explicit informed
    consent; nor restrict, prevent or prohibit any other party from using the
    Services, including but not limited to such actions which may tend to
    discourage others from using the Services, such as stalking, flaming or the
    lashing out at other parties, spamming or the sending of unsolicited
    information, advertisement or content, flooding or the sending of repetitive
    message, trolling or the use of insulting or deliberately divisive information,
    material or content, other forms of annoyances, and the like.
  9. You agree not to circumvent, disable, or otherwise interfere with securityrelated features of the Services, including those that prevent or restrict use or
    copying of any content, material or information available on or through the
    Services, as well as those that enforce limitations on the use of the Services
  10. You agree not to probe, scan or test the vulnerability of the Services or any
    network connected to it, and not to breach the security or authentication
    measures on the same. You agree not to reverse look-up, trace or seek to
    trace any information on any user of or visitor to the Services, or any other
    customer of BFC Pay including any account maintained with the Services not
    owned by you, to its source, or exploit the Services or any information made
    available or offered by or through the Services, in any way where the purpose
    is to reveal any information, including but not limited to personal identification,
    other than your own information.
  11. You agree to use or access the Services for your information and personal use
    solely as intended through the provided functionality of the Services. You
    agree not to copy or download any material or content from or through the
    Services unless such copying or downloading is explicitly allowed by a visible
    manifestation thereof such as a “download” button or a similar link ostensibly
    displayed. You further agree not to engage or attempt to engage in the use,
    copying, transmission, broadcast, display, distribution or sale of any of the
    contents, material or information available on or through the Services,
    including user comments and the like, other than as expressly permitted
    herein, or as explicitly indicated in the Services, including use thereof for
    commercial purposes
  12. You agree that you will not take any action that imposes an unreasonable or
    disproportionately large load on the infrastructure of the Services or its
    systems or networks, or any systems or networks connected to the Services.
  13. You agree not to incorporate any word in your name, message identification,
    or custom user title that is defamatory, obscene or profane, or which violates
    any trademark, service mark, or other intellectual property rights of any third
    party, including that of BFC Pay. You likewise agree not to use any trademark,
    trade name, service mark, or logo in a way that is likely or intended to cause
    confusion about the owner or authorized user of such marks, names or logo.
  14. You agree not to use any device or routine to interfere or attempt to interfere
    with the proper working of the Services or any transaction being conducted
    using the Services, or with any other person’s use of the Services. You agree
    that you will not engage in any activity that interferes with or disrupts the
    Services or the servers and networks which are connected to the Services.
  15. You undertake to provide us with: (a) true, accurate, current and complete
    evidence of your identity, and promptly update your personal information if
    and when it changes; (b) provide us with any identity documentations as may
    be requested by us; (c) provide us with details of one or more Payment
    Instruments; (d) provide us with true, accurate, current and complete
    information is required to receive the Service and any other information which
    may be required in relation to the Recipient; and (e) any other information that
    must be provided for the Service to be properly executed, as specified when
    you enter the details of the Service you are interested. You agree not to
    conceal your true name or use fictitious name, otherwise, BFC Pay may can
    take appropriate action against you through Law.
  16. Once You confirm the Transaction or ask BFC Pay to proceed with the
    Transaction, you agree that you may not cancel nor reverse such transaction.
    BFC Pay shall proceed with crediting the account of the Recipient and once
    the money or fund is in the account of the Beneficiary or Recipient, BFC Pay
    cannot reverse nor deduct such account without the proper order from
    authority or Law.
  17. You agree not to use the Services for any purpose that is illegal, unlawful or
    prohibited by these Terms, or to solicit the performance of any illegal activity
    or other activity which infringes on the rights of BFC Pay or others, which
    includes but is not limited to 1) selling, leasing or giving your Account to a third
    party, 2) earning monies, goods or services by performing transactions using
    the Services for a third party, and 3) acting as a remittance agent using the
    Services. You further agree not to modify, rent, lease, loan, sell, distribute or
    create derivative works based on any content, material or information, either in
    whole or in part, available on or through the Services, unless you have been
    specifically permitted to do so by BFC Pay or by the owner of that content,
    material or information in a separate agreement.
  18. You agree that you are responsible to check for update/s and will download
    such update/s to the BFC Pay App before use. You understand that certain
    BFC Pay App functions may not be available or disabled by BFC Pay if you do
    not perform the needed update.
  19. You shall not share any passwords, Personal Identification Numbers (PIN
    codes, password, OTP), IDs related to payment authorization or login details.
    The User acknowledges that any such disclosure shall be at the absolute
    liability of the User who shall be liable for any losses sustained as a result of
    such disclosure or by any act of negligence.
  20. All transactions initiated by the User from any Payment Instrument registered
    in the App is the sole liability of the User. You agree and acknowledge that the
    use of the App is personal to the User and at his/her full risk and liability. The
    User may not assign it to anyone else.
  21. You will be solely responsible and BFCP shall not be liable to the User for any
    loss or damage whatsoever and of any kind as a result of fraudulent activity,
    unauthorized use or misuse of the App.
  22. BFCP shall ensure its best effort to secure the App and all information related
    to it including wallet/card holder and User data in accordance with applicable
    laws, international standards including PCI DSS and best practices.
  23. For transfers/payments to accounts, the User authorizes BFCP to debit his/her
    e-Wallet based on a request initiated by the User through the App for the
    purpose of payment or transfer.

Termination

  1. The User may terminate this agreement at any time by contacting the Call
    Centre.
  2. The User shall remain responsible for any and all transactions made through
    the App and the Wallet until such termination.
  3. BFCP can terminate, change these Terms, or add or delete any items in these
    Terms at any time.
  4. BFCP will provide notice if required by Law. The User cannot change these
    Terms but can terminate these Terms at any time.
  5. The User accepts and understands that it is his / her responsibility to refer to
    the updated Terms and will have no right to make any claim against BFCP due
    to lack of his / her notification or consent to the changes made to the Terms,
    to the extent permitted by applicable laws.

Warranties

  1. We do not warrant and shall not be responsible due to failure of operational
    systems or technical issues or any reason beyond its reasonable control.
  2. The User shall remain responsible for any and all transactions made through
    the App and the Wallet
  3. We cannot give any undertaking that products or services purchased using
    the App will be of satisfactory quality, and any such warranties are
    DISCLAIMED absolutely.

Privacy

  1. We use Your personal data in the manner set out in Our Privacy Policy which
    can be referred through our website and App.
  2. Using the Service and the App, You consent to the collection and use of Your
    personal data in the manner set out in the Privacy Policy.
  3. If We decide to change Our Privacy Policy, We will post those changes on the
    Privacy Policy page so that You are always aware of what information We
    collect, how We use it and under what circumstances We disclose it. You
    should check the Privacy Policy frequently for changes. We will protect Your
    personal data and maintain its confidentiality including where it is held by an
    agent or third party on behalf of Us and ensure that We have in place and
    maintain adequate policies, procedures and controls.
  4. We will not disclose Your Personal Data unless: (i) required to do so by
    applicable laws and regulations, by CBB or other competent authority in the
    Kingdom of Bahrain; or (ii) the disclosure is made with Your prior written

Proprietary Rights

  1. The User acknowledges that the underlying software required for accessing
    the App and e- Wallet/ availing the service(s) are the legal property of BFCP.
  2. The permission given by BFCP to access the App and e-Wallet/ avail the
    Service(s) will not convey any proprietary or ownership rights in such
    software.
  3. The User shall not attempt to modify, translate, disassemble, decompile, or
    reverse engineer the underlying software or create any derivative product
    based on the software.

Governing Law

These Terms and Conditions and any amendments thereto from time to time shall
be governed by and construed in accordance with the laws of the Kingdom of
Bahrain and subject exclusively to the jurisdiction of the Bahrain Courts.
